1. Agreement to these Terms

These Terms of Service (the “Terms”) form a legally binding agreement between you and XPRO d.o.o. (“XPRO”, “we”, “our”, or “us”), a company registered in Slovenia with its registered office at Stegne 21C, 1000 Ljubljana, Slovenia, concerning your use of the Audimo mobile application and the Audimo website (together, the “Service”).

By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. What Audimo does

Audimo is an accessibility app that helps people who are deaf or hard of hearing follow spoken conversations. It provides:

• Real-time speech-to-text captioning on your device;
• Live translation of speech across many supported languages;
• Per-speaker labelling to help follow group conversations;
• Saving, reviewing, and sharing of transcripts;
• Optional display of captions on supported AR glasses.

Audimo is available on supported iOS and Android devices. Some features require an internet connection.

3. Eligibility and your account

3.1 Eligibility

You must be at least 16 years old (or the minimum age required in your country to consent to processing of your data) to use the Service.

3.2 Accounts

Some features are available without an account. Where an account is required, you agree to provide accurate information, keep it up to date, keep your credentials confidential, and remain responsible for activity under your account. Notify us promptly of any unauthorised use.

4. Licence and restrictions

4.1 Licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Service for your personal, non-commercial use (or your internal business use).

4.2 Restrictions

You agree not to:

• copy, modify, or create derivative works of the Service;
• reverse engineer, decompile, or disassemble the Service, except where permitted by law;
• rent, lease, lend, sell, or sublicense access to the Service;
• use the Service to build a competing product or service;
• remove or alter any proprietary notices; or
• use automated means to access the Service except as expressly permitted.

5. Acceptable use

You may use Audimo to caption and translate conversations that you are lawfully entitled to capture. You are responsible for complying with all laws that apply to recording or transcribing others, including obtaining any consent that may be required in your jurisdiction. You agree not to use the Service to process content that is unlawful, infringing, harassing, or that violates the privacy or rights of others.

6. Your content and our rights

6.1 Your content

You retain all rights to the audio you process and the captions and transcripts you generate (“Your Content”). You grant us a limited licence to process Your Content solely to operate and provide the Service to you.

6.2 Our intellectual property

The Service — including its software, models, interface, design, and trademarks — is owned by XPRO d.o.o. and protected by law. All rights not expressly granted are reserved.

6.3 Feedback

If you send us suggestions or feedback, we may use them without obligation to you.

7. Pricing and payments

Audimo offers a limited free trial. After the trial, continued access to Audimo requires a paid subscription, as shown on the App Store or Google Play. Where purchases are made through the Apple App Store or Google Play, they are billed by, and subject to the terms of, the relevant app store, including its rules on trials, auto-renewal, cancellation, and refunds. You can manage or cancel a subscription through your app-store account. We may change pricing for future billing periods with reasonable prior notice.

8. Availability and accuracy

8.1 Availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance or due to factors outside our control.

8.2 Accuracy — please read

Audimo uses automated speech recognition and machine translation. Accuracy depends on audio quality, background noise, accents, terminology, and other factors, and captions and translations may contain errors.

Audimo is an assistive tool. It is not a substitute for a qualified human interpreter or captioner, and it must not be relied upon for emergency, medical, legal, financial, or other critical communications. Always verify important information independently.

8.3 Support

Support is provided by email. Response times may vary.

9. Privacy and data protection

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service you acknowledge that audio is processed to generate captions and translations as described there. We apply appropriate technical and organisational measures to protect your data, including encryption in transit.

10. Termination

10.1 By you

You may stop using the Service and delete the app at any time. You can cancel any paid subscription through your app-store account.

10.2 By us

We may suspend or terminate your access without notice if you breach these Terms, use the Service unlawfully, or create a security or legal risk to us or others.

10.3 Effect

On termination, your right to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, and limitation of liability) will survive.

11. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your requirements, be uninterrupted or secure, or that captions or translations will be accurate or error-free.

Nothing in these Terms excludes or limits any rights you have as a consumer that cannot be excluded under applicable law.

12. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the service shall not exceed the greater of the amount you paid us for the service in the 12 months before the claim, or EUR 50. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

We are not liable for failures or delays caused by events beyond our reasonable control.

13. Indemnification

You agree to indemnify and hold harmless XPRO d.o.o. and its officers, employees, and agents from claims, damages, and reasonable expenses arising from your use of the Service, Your Content, or your breach of these Terms or applicable law.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Slovenia, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection rules of your country of residence, the courts of Ljubljana, Slovenia shall have jurisdiction. Before starting any formal proceedings, you agree to first contact us to try to resolve the matter informally. Consumers in the EU may also use the European Commission’s Online Dispute Resolution platform.

15. General

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. We may update these Terms; material changes will be notified in the app or on our website, and continued use after the changes take effect constitutes acceptance. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
